comherebygrantsLicenseeanon-exclusive,royalty-free,world-widelicensetoreproduce,analyze,test,performand/ordisplaypublicly,preparederivativeworks,distribute,andotherwiseusetheSoftwarealoneorinanyderivativeversion,provided,however,thattheeGenix.
comPublicLicenseAgreementisretainedintheSoftware,orinanyderivativeversionoftheSoftwarepreparedbyLicensee.

NOWARRANTYeGenix.

COMMAKESNOREPRESENTATIONSORWARRANTIES,EXPRESSORIMPLIED.
BYWAYOFEXAMPLE,BUTNOTLIMITATION,EGENIX.
COMMAKESNOANDDISCLAIMSANYREPRESENTATIONORWARRANTYOFMERCHANTABILITYORFITNESSFORANYPARTICULARPURPOSEORTHATTHEUSEOFTHESOFTWAREWILLNOTINFRINGEANYTHIRDPARTYRIGHTS.

LIMITATIONOFLIABILITYEGENIX.
COMSHALLNOTBELIABLETOLICENSEEORANYOTHERUSERSOFTHESOFTWAREFORANYINCIDENTAL,SPECIAL,ORCONSEQUENTIALDAMAGESORLOSS(INCLUDING,WITHOUTLIMITATION,DAMAGESFORLOSSOFBUSINESSPROFITS,BUSINESSINTERRUPTION,LOSSOFBUSINESSINFORMATION,OROTHERPECUNIARYLOSS)ASARESULTOFUSING,MODIFYINGORDISTRIBUTINGTHESOFTWARE,ORANYDERIVATIVETHEREOF,EVENIFADVISEDOFTHEPOSSIBILITYTHEREOF.
SOMEJURISDICTIONSDONOTALLOWTHEEXCLUSIONORLIMITATIONOFINCIDENTALORCONSEQUENTIALDAMAGES,SOTHEABOVEEXCLUSIONORLIMITATIONMAYNOTAPPLYTOLICENSEE.

TerminationThisLicenseAgreementwillautomaticallyterminateuponamaterialbreachofitstermsandconditions.

ThirdPartyRightsAnysoftwareordocumentationinsourceorbinaryformprovidedalongwiththeSoftwarethatisassociatedwithaseparatelicenseagreementislicensedtoLicenseeunderthetermsofthatlicenseagreement.
ThisLicenseAgreementdoesnotapplytothoseportionsoftheSoftware.
CopiesofthethirdpartylicensesareincludedintheSoftwareDistribution.
7.
GeneralNothinginthisLicenseAgreementaffectsanystatutoryrightsofconsumersthatcannotbewaivedorlimitedbycontract.
NothinginthisLicenseAgreementshallbedeemedtocreateanyrelationshipofagency,partnership,orjointventurebetweeneGenix.

IfanyprovisionofthisLicenseAgreementshallbeunlawful,void,orforanyreasonunenforceable,suchprovisionshallbemodifiedtotheextentnecessarytorenderitenforceablewithoutlosingitsintent,or,ifnosuchmodificationispossible,beseveredfromthisLicenseAgreementandshallnotaffectthevalidityandenforceabilityoftheremainingprovisionsofthisLicenseAgreement.
ThisLicenseAgreementshallbegovernedbyandinterpretedinallrespectsbythelawofGermany,excludingconflictoflawprovisions.
ItshallnotbegovernedbytheUnitedNationsConventiononContractsforInternationalSaleofGoods.
ThisLicenseAgreementdoesnotgrantpermissiontouseeGenix.
comtrademarksortradenamesinatrademarksensetoendorseorpromoteproductsorservicesofLicensee,oranythirdparty.
ThecontrollinglanguageofthisLicenseAgreementisEnglish.
IfLicenseehasreceivedatranslationintoanotherlanguage,ithasbeenprovidedforLicensee'sconvenienceonly.
8.
AgreementBydownloading,copying,installingorotherwiseusingtheSoftware,LicenseeagreestobeboundbythetermsandconditionsofthisLicenseAgreement.
