AGENCY AGREEMENT

This agreement is made by and entered into between__________(hereinafter referred to as Party A)and_________(hereinafter referred to as Party B)whereby Party A agrees to appoint Party B to actas its sole agent for the under-mentioned commodity(ies) in the designated territory on the terms andconditions set forth below:

(1)Name of Commodity(ies)

(2) T erritory

The territory covered by this Agreement is confined to.. .only.Party B shall not handle any of the specifiedcommodity(ies)of other origins in the said territory and Party A agrees not to sell any of the specifiedcommodity(ies) to others firms or importers in the said territory except as provide in Article (10).Party Ashall refer to Party B all enquiries received from clients in the said territory.However if a third party insistson doing business direct with Party A the latter shall have the right to do business direct with the third partyand shall reserve for Party B a xx%commission on the transaction.

(3) Price and Quantity:

The price and quantity for the goods of each transaction are to be fixed through negotiations by both partiesEach transaction is subject to party A's final confirmation.

(4)Minimum Turnover:

Party B undertakes to place with party A orders amounting to.. . in the duration of this agreement.Theamount of the orders placed during the first three months shall not be less than 1/4 of the total amount asmentioned above.

(5) Payment:

Payment is to be made by confirmed irrevocable letter of credit without recourse available by sight draftupon presentation of shipping documents to the negotiating bank in. ..The letter of credit for each ordershall reach Party A. . .days before the date of shipment.

(6)Commission:

Party A agrees to pay party B a commission of. . .%(. . .percent)on FOB value of orders placed by party B

under this Agreement.No commission shall be paid until after Party A receives the full payment for theorder concerned.

(7)Advertising&Pub licity

Party A shall take every effective measure to advertise the products under Agencyin order to expand thesales of the products in the duration of this Agreement Party A shall also provide Party B free of chargewith the advertising materials if available.

(8)Arb itati o n:

All disputes arising from the execution of or in connection with this Agreement shall be settled amicablythrough friendly negotiation in case no settlement could be reached through negotiation the case shall bereferred to a third party approved by both parties for arbitration.The arbitral award made by the third partyis final and binding upon both parties.

(9) Tender:

Party B undertakes to forward promptly to Party A all calls for tenders issued by local government bodiesor their appointed representative for the supply of the commodity(ies)covered by this A agreementtogether with all relevant information and/or materials.Should Party A decide to submit a tender offersshall be made through Party B with priority.The prices are to be mutually decided on each occasion PartyA however reserves the right to submit offers either directly or through a third party without being boundby this Agreement.

(10) Transaction with Governmental Bodies:

The transactions concluded between Governmental bodies of Party A's country and those of Party B's arenot restricted by the terms and conditions of this Agreement nor shall the amount of such transactions becounted as part of the turnover mentioned in this Agreement.

(11) Market Report:

In order to keep party well informed of the prevailing market conditions party B shall undertake to supplyparty A at least once a calendar quarter or at any time when necessary with market report coveringinformation on changes of local regulations in connection with the importation and sales of thecommodity(ies)covered by this Agreement local market tendency buyer's comments on quality packingprice etc.of the goods supplied by party A under this Agreement.Party B shall also supply party A withquotations samples and advertising matters of similar commodity(ies)of others suppliers.

(12)Amendment and Supplements:

Any amendments and/or supplements to this agreement shall be made in writing and duly confirmed byboth parties through negotiation and such amendments and/or supplements shall be regarded as an integralpart of this Agreement.

(13)Validity of the Agreement:

This agreement when duly signed by the parties concerned shall remain valid for a period of . . . . . . . .commencing from. ..and terminating on. .. if no written obxxxxjection is raised by either party one monthbefore its expiration this Agreement shall be automatically extended for another one year.

(14) In the event of abreach of any of the provisions of this Agreement by one ofthe parties the other partyis entitled to cancel this Agreement forthwith by giving notice in writing to the defaulting party.This agreement is make out in Chinese and English both versions being equally validEach party shall keepone original of this Agreements.

 1商品名称

2区域本协议所涵盖的区域只限于。 乙方不得在本区域经营任何来自其他货源的该指定的商品

甲方同意不出售任何该特定商品给上述区域的其他企业或进口商。除了在条款 10规定的情况之外。 甲方要把从上述区域接到的客户提交给乙方。但是如果第三方坚持要与甲方直接做生意后者有权直接与第三方直接做生意的权利 甲方应为乙方提交交易金额 XX的佣金。

3价格和数量每笔交易商品的价格和数量是通过双方协商谈判确定的但每一笔交易是由甲方的最终确认。

4最低营业额

乙方承诺甲方在本协议期间内从甲方订购金额达到. . . . . . . 。前三个月订单的总额不得少于上述总金额的1/4。

5支付

付款方式必须是经保兑的不可撤消的信用证无追索权的凭即期汇票连同货运单据在议付行. . . . . . . . . . . . .议付。每个订单的信用证要在装运日. . . . .天以前到达甲方。

6佣金

甲方同意在本协议下乙方从甲方订购的订单按订单的FOB价格向乙方支付. . .的佣金 . . .百分比 。 甲方在收到有关订单的全额付款后才能给乙方支付佣金。

7广告与宣传 甲方应采必要措施给本协议下的产品做广告为了在本协议有效期内扩大产品的销售如果可能的话 甲方也应向乙方提供免费的广告材料。

8仲裁 与本协议的执行或者相关的一切争议应通过友好协商的方式解决如果友好协议不能一致该案件应提交由双方仲裁认可的第三方。 由第三方作出的仲裁裁决是终局的对双方均有约束力。

9投标 乙方承诺立即向甲方转交当地政府机构或者其指定的代表发起的对本协议下的产品招标资料和有相关的所有信息和/或材料。若甲方决定参加投标投标应优先通过乙方进行。在每一次的价格将由双方共同决定。 甲方无论如何保留直接或通过第三方提交投标的权利不受本协议的约束。

10与政府机构的交易

甲方国家的政府机构和乙方国家政府机构之间达成的交易不受本协议的条款的限制也不得将此类交易的金额算作本协议中提到的营业额的一部分。

11 市场报告

为了保证甲方充分了解现行市场情况乙方应承担向甲方至少每个季度一次或者在任何需要的时候提供市场有关与本协议项下的产品进口与销售相关的地方规章的变动信息 以及当地市场发展趋势买方对本协议下甲方提供的产品质量包装价格等的意见反馈。乙方还应将其他供应商的类似商品的报价样品和广告事宜等信息向甲方提供。

12修订和补充

任何对本协议的修改和/或补充都应以书面形式并经过双方商谈和确认。该修订 /或补充应被视为本协议的不可分割的组成部分。

13该协议有效期

本协议经有关各方正式签署应保持有效期从开始到. . .终止如果任何一方没有以书面形式在期满前一个月提出相反意见本协议应自动延长一年。

14如果任何一方违反本协议任何规定另一方有权通过向违约方发出书面通知立即取销此协议。

本协议是用中国和英文两种文本做出并具有同等效力各方应保持本协议的原件
