StarfieldTechnologies,LLCCodeSigningCertificateServiceSubscriberAgreementThisStarfieldTechnologies,LLCCodeSigningCertificateServiceSubscriberAgreement("Agreement")isenteredintobyandbetweenStarfieldTechnologies,LLC,aDelawarelimitedliabilitycompanyoritsresellers(collectively,"Starfield")andYou,andismadeeffectiveasofthedateYousubmittheCertificateApplicationtoStarfield.
ThisAgreementsetsforththetermsandconditionsofYouruseofStarfield'sCodeSigningCertificateServices("CertificateServices")andrepresentstheentireagreementbetweenYouandStarfieldconcerningthesubjectmatterhereof.
YouracceptanceofthisAgreementsignifiesthatYouhaveread,understand,acknowledgeandagreetobeboundbyallthetermsandconditionsofthisAgreement.
Theterms"we","us"or"our"shallrefertoStarfield.
Theterms"You"or"Your"shallrefertoanySubscriberandanyindividualorentitywhoappliesforand/orusesourCertificateServiceonanySubscriber'sbehalfwiththeSubscriber'spermission.
OurCertificateServicesaregovernedbyStarfield'sCertificationPracticeStatement("CPS"),whichmaybeamendedfromtimetotime,andwhichisincorporatedhereinbythisreference.

I.
Definitions.
ThefollowingtermsshallbedefinedinthisAgreementasfollows:i.
"ApplicationSoftwareVendors"meansadeveloperofsoftwarethatdisplaysorusescertificatesanddistributesrootcertificates.
ii.
"CAs"or"CertificationAuthorities"areentitiessuchasStarfieldthatareauthorizedtocreate,sign,distribute,andrevokecertificates.
Theyarealsoresponsiblefordistributingcertificatestatusinformationandprovidingarepositorywherecertificatesandcertificatestatusinformationisstored.
iii.
"CertificateBeneficiaries"meanstheSubscriber,theRelyingPartyandallApplicationSoftwareVendorswithwhomStarfieldhasenteredintoacontractforinclusionofitsrootcertificateinsoftwaredistributedbysuchApplicationSoftwareVendors.
iv.
"CodeSigningCertificate"or"Certificate"meansacertificateissuedtoanorganizationforthepurposeofdigitallysigningsoftware.
v.
"Compromise"meansaloss,theft,disclosure,modification,unauthorizeduse,orotherbreachofsecurityrelatedtoaPrivateKey.
vi.
"ConfidentialInformation"meansallinformationobtainedasaresultoftheparties'enteringintothisAgreement,whichincludesbutisnotlimitedto,informationrelatedtoPrivateKeys,PublicKeys,personallyidentifyinginformation,passwords,andinformationthatisdesignatedasorintendedtobeconfidential.

"PrivateKey"meansaconfidentialencryptedelectronicdatafilethatinterfaceswithaPublicKeyusingthesameencryptionalgorithm,inordertoverifyDigitalSignaturesandencryptfilesormessages.

"PublicKey"meansanencryptedelectronicdatafilethatispubliclyavailableforinterfacingwithaPrivateKey.
ix.
"RAs"or"RegistrationAuthorities",aretheSubordinateCertificationAuthoritiesthatareunderthecontrolofStarfield.

"RelyingParty"meansanindividualorentitythatactsinrelianceonaCertificateordigitalsignatureassociatedwithaCertificate.

"Reseller"meansanindividualorentitywhichhasbeengivenpermissionbyStarfieldtosellproductstoSubscribers.

"Subscriber"meanstheindividualorentitythathasbeenissuedaCertificateandisauthorizedtousethePrivateKeythatcorrespondstothePublicKeyintheCertificate.
xiii.
"StarfieldCPS"meanstheStarfieldCertificatePracticeStatement,whichdefinesanddescribeshowtheStarfieldPKIanditsCertificateswork.
xiv.
"StarfieldPKI"meanstheStarfieldPublicKeyInfrastructurethatprovidesCertificatesforindividualsandentities.
xv.
"SuspectCode"meanscodethatcontainsmaliciousfunctionalityorseriousvulnerabilities,includingspyware,malwareandothercodethatinstallswithouttheuser'sconsentand/orresistsitsownremoval,andcodethatcanbeexploitedinwaysnotintendedbyitsdesignerstocompromisethetrustworthinessoftheplatformsonwhichitexecutes.
II.
TheCertificateServiceandYourObligationsasaSubscriber.
UponreceiptofYourCertificateApplicationandpayment,StarfieldwillinitiatethenecessaryauthenticationprocedurestovalidateYourapplication.
Oncethishasbeencompleted,StarfieldshallprovideYouwiththeCertificateServiceforeachCertificateissuedasdescribedinthisAgreementandintheStarfieldCPS.
ForthebenefitofStarfieldandtheCertificateBeneficiaries,Youshall:(a)generateoneormoreasymmetrickeypairs;(b)submitPublicKeysandcredentialsforregistration;(c)takeallreasonablemeasuresnecessarytomaintainsolecontrolof,keepconfidential,andproperlyprotectatalltimesYourPrivateKeythatcorrespondstothePublicKeytobeincludedintherequestedCertificate(s)(andanyassociatedactivationdataordevice–e.
g.
passwordortoken);(d)ensurethat,ataminimum,thePrivateKeyisstoredonaUSBtokenthatisphysicallyseparatefromthedevicethathoststhecodesigningfunctionuntilasigningsessionisbegun-theuseofaTrustedPlatformModuleorahardwarecryptomodulethatiscertifiedasconformingtoatleastFIPS140Level2orCommonCriteriaEAL4+isrecommended.
(e)userandomlygeneratedpasswordswithatleast16characterscontaininguppercaseletters,lowercaseletters,numbers,andsymbolstotransportprivatekeys.
(f)provideaccurateandcompleteinformationatalltimestoStarfield,bothintheCertificateApplicationandasotherwiserequestedbyStarfieldinconnectionwiththeissuanceoftheCertificate(s);CodeSigningCertificateServiceSubscriberAgreement–Version1.

(g)promptlyceaseusingtheCertificate,andpromptlyrequestStarfieldtorevoketheCertificate,intheeventthatanyinformationintheCertificateisorbecomesincorrectorinaccurate,(h)promptlyceaseusingtheCertificateanditsassociatedPrivateKey,andpromptlyrequestStarfieldtorevoketheCertificate,intheeventthatthereisanyactualorsuspectedmisuseorCompromiseofYourPrivateKeyassociatedwiththePublicKeyincludedintheCertificate;(i)useyourkeypair(s)incompliancewiththeStarfieldCPS;(j)promptlyceasealluseofthePrivateKeycorrespondingtothePublicKeyincludedintheCertificateuponrevocationofthatCertificateforanyreason,includingKeyCompromise;(k)reviewandverifytheCertificatecontentsforaccuracy,andnotinstallorusetheCertificateuntiltheaccuracyofthedataineachhasbeenreviewedandverified;(l)usetheCertificatesolelyincompliancewithallapplicablelaws,solelyforauthorizedcompanybusiness,andsolelyinaccordancewiththisAgreement;and(m)respondtoStarfield'sinstructionsconcerningKeyCompromiseorCertificatemisusewithintwenty-four(24)hours.
III.
UseRestrictions.
Youareprohibitedfrom:(a)usingtheCertificateServiceonbehalfofanyotherentity;(b)resellingorattemptingtoresellYourCertificatewithoutthepriorwrittenconsentofStarfield;(c)performingPublicorPrivateKeyoperationsinconnectionwithanyentityotherthanthosesubmittedbyYouwhenYouappliedfortheCertificate;(d)importing,exporting,orre-exportingdirectlyorindirectly,anycommodity,includingYourCertificate,toanycountryinviolationofthelawsandregulationsofanyapplicablejurisdiction;(e)usingtheCertificateServicetotransmit,receive,vieworuseinformationwhichmaybeassociatedwithspamormorallyobjectionableactivities.
Morallyobjectionableactivitiesinclude,butarenotlimitedto,activitiesdesignedtodefame,embarrass,harm,abuse,threaten,slanderorharassthirdparties;activitiesprohibitedbythelawsoftheUnitedStatesand/orforeignterritoriesinwhichYouconductbusiness;activitiesdesignedtoencourageunlawfulbehaviorbyothers,suchashatecrimes,terrorismandchildpornography;activitiesthataretortuous,vulgar,obscene,invasiveoftheprivacyofathirdparty,racially,ethnically,orotherwiseobjectionable;activitiesdesignedtoimpersonatetheidentityofathirdparty;andactivitiesdesignedtoharmminorsinanyway;(f)copyingordecompiling(exceptwheresuchdecompilationispermittedbySection50BoftheCopyright,Designs,andPatentActof1988),enhancing,adapting,ormodifyingaCertificate(s),PrivateKey(s)orPublicKey(s);or(g)usingtheCodeSigningCertificatetodigitallysignSuspectCode.
IV.
StarfieldRepresentationsandWarranties.
Starfieldrepresentsandwarrantsthat,tothebestofitsknowledge:(a)itisprovidingtheCertificateServicewithreasonableskillandcare;(b)ithastakenreasonablecarenottointroduceinformationalerrorsinYourCertificateinformationwhencreatingYourCertificate;CodeSigningCertificateServiceSubscriberAgreement–Version1.

(c)therearenomaterialmisrepresentationsoffactintheCertificateknowntoororiginatingfromtheentitiesapprovingtheCertificateApplicationorissuingtheCertificate;and(d)theCertificate,revocationservices,andStarfield'suseofarepositorycomplyinallmaterialrespectswiththeStarfieldCPS.
V.
SubscriberRepresentationsandWarranties.
Yourepresentandwarrantthat:(a)YouandYourdelegatehavebeen(sinceitscreation)andwillremaintheonlypersonpossessingYourPrivateKey,oranychallengephrase,PIN,softwareorhardwaremechanismprotectingthePrivateKey,andnounauthorizedpersonhashadorwillhaveaccesstosuchmaterialsorinformation;(b)theinformationYouputintheSubscriberCertificateistrue,complete,accurateandnotinanymannermisleading;(c)alldigitalsignaturescreatedusingthePrivateKeycorrespondingtothePublicKeylistedintheCertificatebelongtoYouandtheCertificatehasbeenreviewedforaccuracy,acceptedandisfunctional(ithasnotexpiredorbeenrevoked)atthetimethedigitalsignatureiscreated;(d)theCertificateisbeingusedonlyforauthorizedandlegalpurposes(whichincludesnotusingtosignSuspectCode)andisusedincompliancewithallapplicablelawsandinaccordancewiththetermsandconditionsofthisAgreement;(e)YouwillimplementandprovideadequatenetworkandothersecuritycontrolstoprotectagainstmisuseofthePrivateKeyandYouunderstandthatStarfieldwillrevoketheCertificatewithoutrequiringpriornotificationifthereisunauthorizedaccesstothePrivateKeys.
(f)Youhaveread,understandandagreetoimplementandadheretotheCodeSigningBestPractices,including,withoutlimitation,astheyrelatedtogenerationandoperationofanydevicestoringprivatekeysinasecuremanner.
(g)YouareusingtheCertificateinaSubscribercapacity,notasaCertificateAuthority;(h)YouarenotapplyingforaCertificatewherethePublicKeyisorwillbeusedwithanon-CodeSigningCertificate;(i)Youagreethat(i)iftheCertificateorYouisidentifiedasasourceofSuspectCode,(ii)theauthoritytorequesttheCertificatecannotbeverified,or(iii)theCertificateisrevokedforreasonsotherthanatYourrequest(e.
g.
asaresultofprivatekeycompromise,discoveryofmalware,etc.
),thatStarfieldisauthorizedtoshareinformationaboutYou,thesignedapplication,Certificate,andsurroundingcircumstanceswithotherCAsorindustrygroups,includingtheCA/BrowserForum.
(j)YouwillpromptlyceaseusingtheCertificateanditsassociatedPrivateKeyandpromptlyrequestthatStarfieldrevoketheCertificateifYoubelievethattheCertificatewasusedtosignSuspectCode;(k)YoudisclaimanyfiduciaryrelationshipbetweenStarfieldoranynon-StarfieldCertificationAuthoritiesandYou;(l)YouarenotusingtheCertificateServiceinanywaythatinfringesupontherightsofthirdparties;(m)YouacknowledgethatStarfieldmaymodifythisAgreementwhennecessarytocomplywithanychangesdictatedbyIndustryStandards.
VI.
Revocation.
StarfieldreservestherighttoimmediatelyrevokeyourCertificateif(i)YoufailtoperformanyofthematerialCodeSigningCertificateServiceSubscriberAgreement–Version1.

obligationsunderthisAgreementortheCPS;(ii)YouviolateanytermsofthisAgreementortheCPS;(iii)YoudonotimmediatelynotifyStarfieldifYouortheentitythatYouhavesignedupontheSubscriberApplicationchangesitsname;(iv)YoudonotimmediatelynotifyStarfieldandanyaffectedindividualsifYoudiscoverorsuspectthattherehasbeenabreachofyourPrivateKeyorthesecurityprotectingthePrivateKey;(v)YoufailtopayanyinvoicefromStarfieldwithinforty-five(45)daysofreceivingit;(vi)YoucompromisethesecurityorintegrityoftheStarfieldPKI;(vii)YouimproperlyuseormisrepresenttheStarfieldPKISiteSealor(viii)theApplicationSoftwareSupplierrequestrevocation.
IfStarfieldrevokesYourCertificatewithoutnoticetoYou,YoushallpayanychargesduebutnotyetpaidunderthisAgreement.
IfYouwishtorevokeYourCertificate,revocationrequestsmaybesubmittedviaanonlinecertificaterevocationrequestpage.
VII.
PrivateKeyCompromise.
YouagreethatifthereisabreachofyourPrivateKey,thatYouwillbesolelyresponsibleforanylossordamagesrelatedtothebreach.
VIII.
Fees.
InconsiderationfortheCertificateServicepurchasedbyYouandprovidedtoYoubyStarfield,YouagreetopayStarfieldoritsReselleratthetimeserviceisprovided.
PaymentistobemadebyYoubyprovidingeitheravalidcreditcard,anonlinecheck,orusingacashreserveforchargebyStarfieldoritsReseller(collectively,the"PaymentMethod").
IfforanyreasonStarfieldoritsResellerisunabletochargeYourPaymentMethodforthefullamountowedStarfieldfortheCertificateService,orifStarfieldoritsResellerischargedapenaltyforanyfeeitpreviouslychargedtoyourPaymentMethod,YouagreethatStarfieldanditsResellersmaypursueallavailableremediesinordertoobtainpayment.
YouagreethatamongtheremediesStarfieldanditsResellersmaypursueinordertoeffectpayment,shallincludebutwillnotbelimitedto,immediaterevocationwithoutnoticetoYouofyourCertificateService.
Starfieldreservestherighttochargeareasonableservicefeeforadministrativetasksoutsidethescopeofitsregularservicesornecessarytocontinueprovidingahighqualitylevelofservice.
Theseinclude,butarenotlimitedto,customerserviceissuesthatcannotbehandledoveremailbutrequirepersonalservice,anddisputesthatrequirelegalservices.
ThesechargeswillbebilledtothePaymentMethodwehaveonfileforYou.
YoumaychangeyourPaymentMethodatanytimebyloggingintoyouraccount.
IfYouelecttheautomaticrenewaloption,StarfieldoritsResellerwillautomaticallyrenew,foraperiodequivalenttothelengthofyouroriginalCertificateService,anyCertificatethatisupforrenewalandwilltakepaymentfromthePaymentMethodYouhaveonfilewithStarfieldoritsReseller,atcurrentrates.
Refunds.
IfforanyreasonYouarenotcompletelysatisfiedwiththecertificatethathasbeenissuedtoYou,YoumayaskStarfieldtorevokethecertificatewithin30daysofissuanceforarefund,minusanyfees.
Followingtheinitial30dayperiod,YoumayaskStarfieldtorevokethecertificateandprovidearefundifStarfieldhasbreachedawarrantyorothermaterialobligationunderthisCPSrelatingtotheYouorYourcertificate.
IX.
TermandTermination.
ThisAgreementshallbeginonthedateYousubmittheCertificateApplicationtoStarfieldanditstermsandconditionsshallcontinuetobebindingthroughthedurationofCertificateService,andanyrenewalthereof.
ThisAgreementshallterminateonlyuponrevocationorexpirationofeachandeveryCertificateissuedtoYou.

partymayrevokeaCertificateforconveniencebyprovidingten(10)businessday'swrittennoticetotheotherparty,inadditiontoStarfield'srevocationrightssetforthinSectionVI(Revocation).
X.
IntellectualPropertyRights.
Starfield'sCertificates,PublicKeys,andPrivateKeysareproprietarytoStarfield,andtitletothemremainswithStarfield.
Allapplicablecommonlawandstatutoryrightsintheproductandupdatesofthem,including,butnotlimitedto,servicemarks,patents,andcopyrights,shallbeandwillremainthepropertyofStarfield.
Youshallhavenoright,title,orinterestinsuchproprietaryrightsotherthanthatprovidedforinthisAgreement.
StarfieldgrantsYouarevocable,non-exclusive,non-transferablelicensetouseitsCertificatesassociatedwithitsCertificateService,whichincludesthePublicandPrivateKeysandanygeneratedDigitalSignatures.
Starfieldretainsallrightsithasinanytrademark,servicemark,tradename,orotheridentifyingtradesymbolsthatitowns.
YouagreenottousetheStarfieldnameorlogoinanywaywithoutStarfield'spriorwrittenapproval.
YouareprohibitedfromusingnamesinyourCertificateApplication(s)thatinfringeuponothers'IntellectualPropertyRights.
XI.
Confidentiality.
ConfidentialInformationshallonlybeusedforthepurposesnecessaryunderthisAgreement.
YouagreethatanypersonwhoYoudiscloseinformationtomustcomplywiththerequirementsofthissection.
Notwithstandingthepreviousprovisionsofthisclause,eitherpartymaydiscloseConfidentialInformationinaccordancewithapplicablelawsandregulationsorajudicialorothergovernmentalorder.
ThissectionshallsurvivepasttheterminationofthisAgreementforfiveyears.
XII.
DisclaimersofWarranties.
STARFIELD,ITSCAS,ITSRESELLERS,CO-MARKETERS,SUBCONTRACTORS,DISTRIBUTORS,AGENTS,SUPPLIERS,ANDEMPLOYEESMAKENOREPRESENTATIONSANDEXPRESSLYDISCLAIMALLWARRANTIESOFANYKINDUNLESSSTATEDOTHERWISEWITHINTHESTARFIELDPKIAGREEMENTS,WHETHEREXPRESSORIMPLIED,INCLUDING,BUTNOTLIMITEDTO,THEIMPLIEDWARRANTIESOFMERCHANTABILITY,FITNESSFORAPARTICULARPURPOSE,NON-INFRINGEMENT,TITLE,SATISFACTORYTITLE,ANDALSOINCLUDINGWARRANTIESTHATARESTATUTORYORBYUSAGEOFTRADE.
STARFIELDMAKESNOWARRANTYTHATITSSERVICE(S)WILLMEETANYEXPECTATIONS,ORTHATTHESERVICE(S)WILLBEUNINTERRUPTED,TIMELY,SECURE,ORERRORFREE,ORTHATDEFECTSWILLBECORRECTED.
STARFIELDDOESNOTWARRANT,NORMAKEANYREPRESENTATIONSREGARDINGTHEUSE,ORRESULTSOF,ANYOFTHESERVICESWEPROVIDE,INTERMSOFTHEIRCORRECTNESS,ACCURACY,RELIABILITY,OROTHERWISE.
XIII.
Indemnity.
YoushallindemnifyandholdharmlessStarfield,anynon-StarfieldCertificateAuthoritiesassociatedwithStarfieldPKI,andStarfield'scontractors,agents,employees,officers,directors,shareholders,affiliatesandassignsfromandagainstanyclaims,liabilities,damages,costsandexpenses,includingreasonableattorney'sfees,courtcosts,andexpertsfees,ofthirdpartiesrelatingtoorarisingoutoforrelatingtoanyuseorreliancebyaRelyingPartyonanyStarfieldCertificateoranyserviceprovidedinrespecttoStarfieldCertificates,including(i)anymisrepresentations,omissionsorfalsestatementsbyyouontheCertificateApplication,(ii)anyunauthorizeduseormodificationofaStarfieldCertificate,CodeSigningCertificateServiceSubscriberAgreement–Version1.

(iii)failuretotakepropermeasuretoassurethesecurityofaStarfieldCertificate,and(iv)violationsofintellectualproperty.
YouagreetonotifyStarfieldofanysuchclaimpromptlyinwritingandtoallowStarfieldtocontroltheproceedings.
YouagreetocooperatefullywithStarfieldduringsuchproceedings.
YoushalldefendandsettleatYoursoleexpenseallproceedingsarisingoutoftheforegoing.
XIV.
LimitationofLiability.
STARFIELDSHALLNOTBELIABLEFORANYLOSSOFCERTIFICATESERVICESUNLESSDUETOAFAILUREORBREACHOFTHECERTIFICATEENCRYPTION.
THETOTALCUMULATIVELIABILITYOFSTARFIELD,ANYINDEPENDENTTHIRD-PARTYREGISTRATIONAUTHORITYOPERATINGUNDERASTARFIELDCA,ANYRESELLERS,ORCO-MARKETERS,ORANYSUBCONTRACTORS,DISTRIBUTORS,AGENTS,SUPPLIERS,EMPLOYEES,ORDIRECTORSOFANYOFTHEFOREGOINGTOANYAPPLICANT,SUBSCRIBER,RELYINGPARTYORANYOTHERPERSON,ENTITY,ORORGANIZATIONARISINGOUTOFORRELATINGTOANYSTARFIELDCERTIFICATEORANYSERVICESPROVIDEDINRESPECTTOSTARFIELDCERTIFICATES,INCLUDINGANYUSEORRELIANCEONANYSTARFIELDCERTIFICATE,SHALLNOTEXCEEDONETHOUSANDUNITEDSTATESDOLLARS($1000.

THEFOREGOINGLIMITATIONSSHALLAPPLYTOANYLIABILITYWHETHERBASEDINCONTRACT(INCLUDINGFUNDAMENTALBREACH),TORT(INCLUDINGNEGLIGENCE),LEGISLATIONORANYOTHERTHEORYOFLIABILITY,INCLUDINGANYDIRECT,INDIRECT,SPECIAL,STATUTORY,PUNITIVE,EXEMPLARY,CONSEQUENTIAL,RELIANCE,ORINCIDENTALDAMAGES.
XV.
Modifications.
YouagreethatStarfieldmaymodifythisAgreementandthetermsoftheCertificateServicefromtimetotime.
AnysuchrevisionsshallbebindingandeffectiveimmediatelyuponpostingtherevisedAgreementontheStarfieldwebsite.
BycontinuingtouseStarfield'sCertificateServiceaftertherehasbeenarevisiontothisAgreementortheService,youagreetobeboundbysuchrevision.
XVI.
ForceMajeure.
NeitherpartyshallbeindefaultorotherwiseliableforanydelayinorfailureofitsperformanceunderthisAgreementifsuchdelayorfailurearisesbyanyreasonbeyonditsreasonablecontrol,includinganyactofGod,anyactsofthecommonenemy,theelements,earthquakes,floods,fires,epidemics,riots,failuresordelayintransportationorcommunications,oranyactorfailuretoactbytheotherpartyorsuchotherparty'semployees,agentsorcontractors;provided,however,thatlackoffundsshallnotbedeemedtobeareasonbeyondaparty'sreasonablecontrol.
ThepartieswillpromptlyinformandconsultwitheachotherastoanyoftheabovecauseswhichintheirjudgmentmayorcouldbethecauseofadelayintheperformanceofthisAgreement.
XVII.
SeverabilityandEntireAgreement.

YouagreethatthetermsofthisAgreementareseverable.
IfanypartofthisAgreementisdeterminedtobeunenforceableorinvalid,thatpartoftheagreementwillbeinterpretedinaccordancewithapplicablelawascloselyaspossible,inlinewiththeoriginalintentionofbothpartiesoftheAgreement.
Theremainingtermsandconditionsoftheagreementwillremaininfullforceandeffect.
YouagreethatthisAgreementincludingthepoliciesitrefersto(i.

theCPS,etc.
)constitutethecompleteandonlyagreementbetweenYouandStarfieldregardingtheCertificateServicecontemplatedherein.
XVIII.
Venue;WaiverofTrialbyJury.
THISAGREEMENTSHALLBEDEEMEDENTEREDINTOINTHESTATEOFARIZONA,REGARDLESSOFCONTRACTOROTHERCHOICEOFLAWPROVISIONS.
THELAWSANDJUDICIALDECISIONSOFMARICOPACOUNTY,ARIZONA,SHALLBEUSEDTODETERMINETHEVALIDITY,CONSTRUCTION,INTERPRETATIONANDLEGALEFFECTOFTHISAGREEMENT.
YOUAGREETHATANYACTIONRELATINGTOORARISINGOUTOFTHISAGREEMENT,SHALLBEBROUGHTINTHECOURTSOFMARICOPACOUNTY,ARIZONA.
ANYAPPLICABLENATIONAL,STATE,LOCALANDFOREIGNLAWS,RULES,REGULATIONS,ORDINANCES,DECREES,ANDORDERSINCLUDING,BUTNOTLIMITEDTO,RESTRICTIONSONEXPORTINGORIMPORTINGSOFTWARE,HARDWARE,ORTECHNICALINFORMATIONSHALLAPPLYTOTHISAGREEMENT.
YOUAGREETOWAIVETHERIGHTTOTRIALBYJURYINANYPROCEEDINGTHATTAKESPLACERELATINGTOORARISINGOUTOFTHISAGREEMENT.
XIX.
SuccessorsandAssigns.
ThisAgreementshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectiveheirs,successorsandassigns.
Notwithstandingtheforegoing,youshallnotassignorotherwisetransferthisAgreement(oryourrightsorobligationshereunder)toanyone,includingtoanyparentcompany,subsidiaries,affiliatedentitiesorthirdparties,orinconnectionwithanysale,merger,consolidationorreorganization,unlesstheassigneeexpresslyassumesallrights,duties,liabilitiesandobligationshereunderthisAgreement.
XX.
Waiver.
ThewaiverorfailureofeitherpartytoexerciseinanyrespectanyrightprovidedforinthisAgreementshallnotbedeemedawaiverofanyfurtherrightunderthisAgreement.
XXI.
Survival.
AnyandallpartsofthisAgreementcapableofsurvivingterminationshallsurvive.
XXII.
Notices.
Anynotice,demand,orrequestpertainingtothisAgreementorrelatedagreements,suchastheCPS,shallbecommunicatedeitherusingemailorinwriting.
Electroniccommunicationsshallbeeffectivewhenreceivedbytheintendedrecipient,andwrittencommunicationsshallbeeffectivefivedaysaftermailingoruponreceipt,whicheverissooner.
NoticesconcerningbreachwillbesenteithertotheemailaddressYouhaveonfilewithStarfieldormailedfirstclasspostagetothepostaladdressYouhaveonfilewithStarfield.
