GeneralTheseGeneralConditionsofSaleandDeliveryshallbeanintegralpartofthecontractofpurchase.
ConflictingordeviatingconditionsofpurchaseorotherreservationsmadebytheBuyershallnotbeeffectiveunlesstheSellerhasexpresslyacceptedtheminwritingforaparticularorder.
II.
Offers,Orders1.
TheSeller'soffersshallnotbebindingwithrespecttoprice,quantity,deliverytimeandavailability.
2.
TheBuyer'sordersshallbecomebindingontheSelleruponreceiptbytheBuyeroftheSeller'swrittenorderacknowledgment(orinvoiceordeliverynote).
III.
Remuneration1.
ThepricesinvoicedshallbetheSeller'spriceseffectiveatthetimeofdelivery.
2.
ShouldtheSeller,intheintervalbetweenconclusionofthecontractanddelivery,effectageneralpriceincrease,theBuyershallhavetherighttowithdrawfromthecontractwithintwoweeksofhavingbeeninformedthereof,unlessthepriceincreaseisexclusivelyduetoanincreaseinfreightrates.
Therightofwithdrawalshallnotapplytolong-termsupplycontracts(contractsfortheperformanceofacontinuingobligation).
3.
Wherepaymenthasbeenagreedinacurrencyotherthaneuros(EUR),theSellerreservestherighttoreduceorincreasetheamountoriginallyagreedsothat,whentranslatedintoeuros,thesuminvoicedisequivalenttotheeurovalueresultingfromtranslationoftheamountoriginallyagreedatthetimethecontractwasconcluded.

TheweightofthegoodsonwhichtheinvoicedamountistobecalculatedshallbeascertainedinthedispatchdepartmentoftheSeller'splantfromwhichthegoodsaresuppliedunlesstheBuyerwishesthemtobeweighed,athisexpense,bytherailwayauthoritiesatthestationofdispatch.
IV.
Payment1.
ThehandinginofbillsofexchangeshallbesubjecttotheSeller'spriorconsentandshallnotconstitutepayment.
Thematurityofbillsshallnotexceed90daysfromtheinvoicedate.
Discountexpenses,billcharges,billtaxandsimilarexpensesincurredfromthirtydaysaftertheinvoicedateshallbefortheBuyer'saccount.
2.
WheretheSellerhasreasontodoubttheBuyer'ssolvencyorcreditworthinessandtheBuyerisnotpreparedtoeffectadvancecashpaymentorprovidetheSellerwithsecurityasrequested,theSellershallhavetherighttocancelthatportionofthecontractwhichhehasnotyetperformed.
3.
PaymentshallnotbedeemedtohavebeeneffecteduntiltheamounthasbeenclearedintooneoftheSeller'saccounts.
4.
TheSellerreservestherighttousepaymentsforthesettlementoftheinvoiceswhichhavebeenoutstandinglongest,plusanyinterestonarrearsandcostsaccruedthereon,inthefollowingorder:costs,interest,principalclaim.
5.
TheBuyershallnothavetherighttowithholdpayments.
Counterclaimsmayonlybeoffsetiftheyareuncontestedorhavebecomeresjudicata.
V.
Delivery1.
TheSellershallmakeeveryefforttoeffectdeliveryasearlyaspossible.
Thereshallbenofixedperiodsfordelivery.
2.
Should,notwithstandingtheprecedingparagraph,afixedperiodfordeliveryhavebeenagreed,andshouldtheSellerdefaultwiththesupply,theBuyershallgranttheSellerareasonablerespite,normallyoftwoweeks.
3.
DeliveryshallbesubjecttopunctualdeliveryoftheappropriategoodsbytheSeller'sownsuppliers.
4.
ThedayofdeliveryshallbethedayonwhichthegoodsleavetheSeller'splantorwarehouseor,ifthatdaycannotbeascertained,thedayonwhichthegoodsareputattheBuyer'sdisposal.
5.
TheprovisionofpackagingincludingtankersandtankcontainersbytheSellershallbesubjecttospecialconditions.
VI.
ForceMajeure,ImpedimentstoPerformanceForcemajeureofanykind,unforeseeableproduction,trafficorshippingdisturbances,fire,floods,unforeseeableshortagesoflabor,utilitiesorrawmaterialsandsuppliers,strikes,lockouts,actsofgovernment,andanyotherhindrancesbeyondthecontrolofthepartyobligedtoperformwhichdiminish,delayorpreventproduction,shipment,acceptanceoruseofthegoods,ormakeitanunreasonableproposition,shallrelievethepartyfromitsobligationtosupplyortakedelivery,asthecasemaybe,aslongasandtotheextentthatthehindranceprevails.
If,asaresultofthehindrance,supplyand/oracceptanceisdelayedbymorethaneightweeks,eitherpartyshallhavetherighttocancelthecontract.
ShouldtheSeller'ssuppliersfailtosupplyhiminwholeorinpart,theSellershallnotbeunderobligationtopurchasefromothersources.
Insuchcases,theSellershallhavetherighttodistributetheavailablequantitiesamonghiscustomerswhileatthesametimetakingintoaccounthiscaptiverequirements.
VII.
Shipment1.
TheSellerreservestherighttochoosetherouteandthemodeoftransport.
AnyadditionalcostsresultingfromspecialshippingrequestsmadebytheBuyershallbebornebytheBuyer.
Unlessprepaidfreighthasbeenagreed,theBuyershallalsobearanyincreasesinfreightrateswhichbecomeeffectiveafterthecontracthasbeenconcluded,anyadditionalcostsresultingfromre-routingaconsignment,storageexpenses,etc.
2.
Theriskofdestruction,lossordamageshallpasstotheBuyerupondispatchofthegoodsor,iftheyarecollectedbytheBuyer,atthetimetheyareplacedattheBuyer'sdisposal.
VIII.
RetentionofTitle1.
TitletothegoodsshallnotpasstotheBuyeruntilhehasfulfilledallliabilitiesarisingfromhisbusinessconnectionwiththeSeller,whichshallincludesettlingaccessoryclaimsandclaimsfordamagesandhonoringchecksandbills.
TitletothegoodsshallalsoremainwiththeSelleriftheSeller'sclaimshavebeenincludedinacurrentaccountandthebalanceofthisaccounthasbeenstruckandacknowledged.
2.
IftheBuyerdefaultsonhisobligationstotheSeller,theSellershallhavetheright,withoutgrantingarespiteandwithoutcancelingthecontract,todemandthereturnofthegoodstowhichheretainstitle.
AcceptanceofthereturnedgoodsshallnotconstitutecancellationofthecontractunlesstheSellerhasexpresslydeclaredthisinwriting.
IftheSellercancelstheContract,heshallhavetherighttodemandappropriatecompensationforhavingpermittedtheBuyertousetheitemforacertainperiod.
3.
IfgoodstowhichtheSellerretainstitleareprocessedintonewproducts,theBuyershallbedeemedtobeeffectingsuchprocessingonbehalfoftheSellerwithouttherebyacquiringanyclaimsontheSeller.
TheSeller'stitleshallthusextendtotheproductsresultingfromtheprocessing.
IfgoodstowhichtitleisretainedbytheSellerareprocessedtogetherwith,mixedwithorattachedtogoodstowhichtitleisretainedbythirdparties,theSellershallacquireco-ownershipoftheresultingproductsintheratiooftheinvoicevalueofthegoodsownedbyhimtotheinvoicevalueofthegoodsownedbythosethirdparties.
Ifthegoods,asaresultofsuchmixingorattaching,becomepartofaprincipalmatteroftheBuyer,theBuyer,byacceptingtheseConditions,assignsinadvancehistitletothenewitemtotheSeller.
4.
TheBuyershallbeunderobligationtoprovide,onbehalfoftheSeller,adequatestorageoftheitemtowhichtheSellerretainstitle,toserviceandrepairthisitemathisexpenseandtoinsurethesameathisexpenseagainstlossanddamageuptoanextentwhichmayreasonablybeexpectedofaprudentbusinessman.
ByacceptingtheseConditionstheBuyerassignsinadvancetotheSelleranyclaimswhichmayaccruetohimundertheinsurancepolicies.
5.
AslongastheBuyerdulymeetshisliabilitiestotheSeller,heshallhavetheright,inthenormalcourseofbusiness,todoashewisheswiththegoodstowhichtheSellerretainstitle.
Thisshallnotapply,however,ifheandhiscustomershaveconcludedanagreementaccordingtowhichtheBuyermustnotassignhisclaimsonthemtothirdparties.
TheBuyershallnothavetherighttopledge,chattelmortgageorotherwiseencumberthegoodstowhichtheSellerretainstitle.
Whenresellingthegoods,theBuyershallmakethepassingofthetitlesubjecttofullpaymentofthegoodsbyhiscustomers.
6.
ByacceptingtheseConditions,theBuyerassignsinadvancetotheSelleranyclaimswhichmayarisefromaresaleofthegoodstowhichtheSellerretainstitle,togetherwithanyincidentalrightsandsecurityinterestsincludingbillsofexchangeandchecks,soastoprovidetheSellerwithsecurityforallclaimshehasontheBuyerasresultofthebusinessconnection.
IfgoodstowhichtheSellerretainstitlearesoldtogetherwithothergoodsatasingleprice,theassignmentshallbelimitedtotheportionoftheinvoicevaluewhichcoversthegoodstowhichtheSellerretainstitle.
IftheBuyersellsgoodsofwhichtheSellerhasco-ownershippursuanttoclauseVIII.

,theassignmentshallbelimitedtotheportionoftheinvoicevaluewhichcorrespondstotheSeller'sco-ownership.
IftheBuyerusesgoodstowhichtheSellerretainstitleforprocessingathirdparty'sproductonacontractbasis,inacceptingtheseConditionsheassignsinadvancehiscontractualclaimonthethirdpartytotheSellerinordertoprovidehimwithsecurityforhisclaim.
AslongastheBuyerdulymeetshisliabilitiestotheSeller,hemaycollectclaimsfromaresaleorfromcontractprocessinghimself.
Heshallnothavetherighttoassignorpledgesuchclaimsassecurity.
7.
IftheSellerbelieveshisclaimstobeatrisk,theBuyershall,attheSeller'srequest,informhiscustomersoftheassignmentofhisclaimstotheSellerandsupplytheSellerwithallnecessaryinformationanddocuments.
AnyactsofthirdpartiesaimedatseizinggoodstowhichtheSellerretainstitleoratappropriatingclaimsassignedtohimshallbebroughttotheSeller'sattentionbytheBuyerimmediately.
8.
IfthevalueofthesecurityprovidedtotheSellerexceedsthevalueoftheclaimstobesafeguardedbymorethan20percent,theSellershall,attheBuyer'srequest,releasesecurityofhisownchoiceaccordingly.
IX.
REACHTheBuyerherebyconfirmsthatheisawareofhisobligationsundertheRegulation(EC)Nr.
1907/2006oftheEuropeanParliamentandoftheCouncil(REACHRegulation")andthatheagreestofulfilltheseobligations.
SuchobligationsincludebutarenotlimitedtotheBuyer'sobligationsasadownstreamuseraccordingtothetitlesIVandVoftheREACHRegulation.
ThebuyerherebyconfirmsthatitishisownresponsibilitytoprovidetheSellerwithnewinformationabouthazardouspropertiesofsubstancesontheirown,inpreparationsorinarticlesorincaseofidentifiedusesanyotherinformationthatmightcallintoquestiontheappropriatenessoftheriskmanagementmeasuresidentifiedinasafetydatasheetsuppliedtohim.
Inadditiontoitsotherrightsandremedieshereunder,intheeventthattheBuyerfailstocomplywithitsobligationsundertheREACHRegulation,theSellermayterminatethisAgreement,withdrawfromanyindividualpurchaseordersprovidedthattheSellerhasnotsuppliedtheBuyeryetandceasesupplyingtheBuyerimmediatelyupontheSeller'snotificationoftheBuyer'snon-compliance.
X.
Damages1.
NoclaimsforcompensationmaybelodgedbytheBuyer-includingthoseofanon-contractualnature-foranyminornegligentbreachofdutybytheSeller,hisexecutivestafforotheragents,unlesssuchbreachconcernsadutythatiscrucialfortheobjectofthecontract.
2.
TheSellershallonlybeliableforindirectdamageordamagewhichcouldnotbeforeseenatthetimeofconclusionofthecontractifsuchdamageisduetoagrossfaultonthepartoftheSelleroroneofhismanagerialemployees.
3.
Theabovelimitationsshallnotapplytodamageresultingfromdeath,injuryordamagetohealth.
However,thisshallnotaffecttheapplicabilityofcompellingstatutoryliabilityregulationssuchas,forexample,liabilityfortheassumptionofaguaranteeorproductliabilitylaw.
XI.
NotificationofDefects1.
Notificationofdefectsshallonlyberecognizediffiledinwritingwithintwoweeksofreceiptofthegoods,togetherwithsupportingevidence,samplesandpackingslips,statingtheinvoicenumberanddate,andthemarkingsonthepackaging.
2.
HiddendefectsmustbenotifiedtotheSellerimmediatelyupondiscovery,butnotlaterthanfivemonthsafterreceiptofthegoods.
Thisshallnotaffecttheperiodsoflimitation.
TheburdenofprovingthatadefectisahiddendefectshallrestwiththeBuyer.
3.
GoodsformingthesubjectofacomplaintshallnotbereturnedtotheSellerexceptwiththeSeller'sexpressconsent.
XII.
Buyer'sRightsintheeventofDefects1.
WarrantyclaimsmadebytheBuyershallonlyentitletheBuyertobesuppliedwithareplacement.
IfthereplacementprovidedbytheSellerisalsodefective,theBuyermayreducethepurchasepriceoropttocancelthecontract.
ClaimsfordamagesasdefinedinSectionXshallremainunaffectedbytheabove.
ClaimsmadebytheBuyerduetoexpensesincurredasaresultofreworking,inparticulartransport,travel,laborandmaterialcosts,shallbeexcludedwheresuchexpenseshavebeenincreasedbythefactthattheitemwassubsequentlytransportedtoalocationotherthanthepremisesofthepartyplacingtheorder,unlessthegoodsweresuppliedtothislocationinlinewiththeirintendeduse.
2.
IntheeventofrecoursetotheguaranteebytheBuyerfollowingasuccessfulclaimagainstthelatteronthebasisoftheprovisionsgoverningthepurchaseofaconsumergood,theclaimsunderarightofrecourseinaccordancewiththeregulationsonthepurchaseofconsumergoodsshallremainunaffected.
SectionXshallapplytoanyclaimfordamages.
3.
TheBuyermustinformtheSellerwithoutdelayofanycaseofrecoursewithinthesupplychain.
StatutoryclaimsunderarightofrecoursebytheBuyeragainsttheSellershallnotapplywithrespecttoarrangementsenteredintobytheBuyerwithitscustomeroverandabovestatutorywarrantyclaims.
4.
Anyguaranteeagreementmustbemadeinwriting.
Astatementofguaranteeshallonlybeeffectiveifitdescribesthecontentoftheguaranteeandthedurationandphysicalscopeofguaranteeprotectioninsufficientdetail.
XIII.
PeriodsofLimitationIncasesthatfallunder§438,paragraph1,no.
3oftheFederalCivilCode(BGB),warrantyclaimsshallexpirewitheffectfromoneyearfromthebeginningofthestatutoryperiodoflimitation.

Thepropertiesofthegoodsshallasageneralruleonlyincludethepropertiesasstatedintheproductdescriptions,specificationsandlabelingoftheSeller.
Publicstatements,claimsoradvertisingshallnotbeclassedasinformationonthepropertiesoftheitemforsale.
2.
TechnicaladviceprovidedbytheSellerverbally,inwritingorbywayoftrialsisgiveningoodfaithbutwithoutwarranty,andthisshallalsoapplywhereproprietaryrightsofthirdpartiesareinvolved.
TheSeller'stechnicaladviceshallnotreleasetheBuyerfromtheobligationtotesttheproductssuppliedbytheSellerastotheirsuitabilityfortheintendedprocessesandusesTheapplication,useandprocessingoftheproductsarebeyondtheSeller'scontrolandthereforeentirelytheBuyer'sresponsibility.
XV.
Trademarks1.
TheBuyershallnothavetherighttorefertotheSeller'sproductswhenofferingorsupplyingsubstituteproductsor,inpricelistsorsimilarbusinesscommunications,tousetheword"substitute"inconjunctionwiththeSeller'sprotectedorunprotectedproductdesignationsorlistthesedesignationstogetherwithanydesignationsforsubstituteproducts.
2.
WhenusingtheSeller'sproductsformanufacturingpurposesorwhenprocessingthemintonewproducts,theBuyershallnothavetheright,withouttheSeller'spriorconsent,tousetheSeller'sproductdesignations,especiallyhistrademarks,ontheresultingproductsoronthepackagingorinanyrelevantprintedmatteroradvertisingliterature,particularlybymentioningtheSeller'sproductsascomponentsofhisownproducts.
Thesupplyofgoodsunderatrademarkshallnotbedeemedagreementtotheuseofthistrademarkfortheproductsmanufacturedthereof.
XVI.
ApplicableLaw,InterpretationofTradeTerms,etc.

Germanlawshallapply.
ApplicationoftheUniformLawontheInternationalSaleofGoodsandtheUniformLawontheFormationofContractsfortheInternationalSaleofGoods-bothdatedJuly17,1973–andoftheUNagreementonthesaleofgoodsofApril11,1980shallbeexcluded.
2.
CustomarytradetermsshallbeinterpretedinaccordancewiththeIncotermseffectiveatthetime.
3.
EvenifithasbeenagreedthattheSellerpaysthecustomsandimportdutiesinthecountryofdestination,anyincreasesinsuchdutieswhichbecomeeffectivebetweenthedateoftheorderacknowledgmentanddeliveryofthegoodsshallbebornebytheBuyer.

PlaceofjurisdictionforbothpartiesshallbeFrankfurtamMainattheplaintiff'soption.
TheSellershallfurthermorehavetherighttosuetheBuyerattheBuyer'sgeneralplaceofjurisdiction.

ShouldanyclauseintheseGeneralConditionsofSaleandDeliverybeorbecomeinvalidinfullorinpart,thisshallnotaffectthevalidityoftheremainingclausesorremainingpartsoftheclauseconcerned.
Thepartiesshallreplaceanyinvalidarrangementbyaneffectiveonewhichconformsasfaraspossibletotheeconomicpurposeoftheinvalidclause.

AnyadditionalcostsresultingfromspecialshippingrequestsmadebytheBuyershallbebornebytheBuyer.
Unlessprepaidfreighthasbeenagreed,theBuyershallalsobearanyincreasesinfreightrateswhichbecomeeffectiveafterthecontracthasbeenconcluded,anyadditionalcostsresultingfromre-routingaconsignment,storageexpenses,etc.

Theriskofdestruction,lossordamageshallpasstotheBuyerupondispatchofthegoodsor,iftheyarecollectedbytheBuyer,atthetimetheyareplacedattheBuyer'sdisposal.
VIII.
RetentionofTitle1.
TitletothegoodsshallnotpasstotheBuyeruntilhehasfulfilledallliabilitiesarisingfromhisbusinessconnectionwiththeSeller,whichshallincludesettlingaccessoryclaimsandclaimsfordamagesandhonoringchecksandbills.
TitletothegoodsshallalsoremainwiththeSelleriftheSeller'sclaimshavebeenincludedinacurrentaccountandthebalanceofthisaccounthasbeenstruckandacknowledged.
2.
IftheBuyerdefaultsonhisobligationstotheSeller,theSellershallhavetheright,withoutgrantingarespiteandwithoutcancelingthecontract,todemandthereturnofthegoodstowhichheretainstitle.
AcceptanceofthereturnedgoodsshallnotconstitutecancellationofthecontractunlesstheSellerhasexpresslydeclaredthisinwriting.
IftheSellercancelstheContract,heshallhavetherighttodemandappropriatecompensationforhavingpermittedtheBuyertousetheitemforacertainperiod.
3.
IfgoodstowhichtheSellerretainstitleareprocessedintonewproducts,theBuyershallbedeemedtobeeffectingsuchprocessingonbehalfoftheSellerwithouttherebyacquiringanyclaimsontheSeller.
TheSeller'stitleshallthusextendtotheproductsresultingfromtheprocessing.
IfgoodstowhichtitleisretainedbytheSellerareprocessedtogetherwith,mixedwithorattachedtogoodstowhichtitleisretainedbythirdparties,theSellershallacquireco-ownershipoftheresultingproductsintheratiooftheinvoicevalueofthegoodsownedbyhimtotheinvoicevalueofthegoodsownedbythosethirdparties.
Ifthegoods,asaresultofsuchmixingorattaching,becomepartofaprincipalmatteroftheBuyer,theBuyer,byacceptingtheseConditions,assignsinadvancehistitletothenewitemtotheSeller.

TheBuyershallbeunderobligationtoprovide,onbehalfoftheSeller,adequatestorageoftheitemtowhichtheSellerretainstitle,toserviceandrepairthisitemathisexpenseandtoinsurethesameathisexpenseagainstlossanddamageuptoanextentwhichmayreasonablybeexpectedofaprudentbusinessman.
ByacceptingtheseConditionstheBuyerassignsinadvancetotheSelleranyclaimswhichmayaccruetohimundertheinsurancepolicies.

AslongastheBuyerdulymeetshisliabilitiestotheSeller,heshallhavetheright,inthenormalcourseofbusiness,todoashewisheswiththegoodstowhichtheSellerretainstitle.
Thisshallnotapply,however,ifheandhiscustomershaveconcludedanagreementaccordingtowhichtheBuyermustnotassignhisclaimsonthemtothirdparties.
TheBuyershallnothavetherighttopledge,chattelmortgageorotherwiseencumberthegoodstowhichtheSellerretainstitle.
Whenresellingthegoods,theBuyershallmakethepassingofthetitlesubjecttofullpaymentofthegoodsbyhiscustomers.

ByacceptingtheseConditions,theBuyerassignsinadvancetotheSelleranyclaimswhichmayarisefromaresaleofthegoodstowhichtheSellerretainstitle,togetherwithanyincidentalrightsandsecurityinterestsincludingbillsofexchangeandchecks,soastoprovidetheSellerwithsecurityforallclaimshehasontheBuyerasresultofthebusinessconnection.
IfgoodstowhichtheSellerretainstitlearesoldtogetherwithothergoodsatasingleprice,theassignmentshallbelimitedtotheportionoftheinvoicevaluewhichcoversthegoodstowhichtheSellerretainstitle.
IftheBuyersellsgoodsofwhichtheSellerhasco-ownershippursuanttoclauseVIII.

,theassignmentshallbelimitedtotheportionoftheinvoicevaluewhichcorrespondstotheSeller'sco-ownership.
IftheBuyerusesgoodstowhichtheSellerretainstitleforprocessingathirdparty'sproductonacontractbasis,inacceptingtheseConditionsheassignsinadvancehiscontractualclaimonthethirdpartytotheSellerinordertoprovidehimwithsecurityforhisclaim.
AslongastheBuyerdulymeetshisliabilitiestotheSeller,hemaycollectclaimsfromaresaleorfromcontractprocessinghimself.
Heshallnothavetherighttoassignorpledgesuchclaimsassecurity.
7.
IftheSellerbelieveshisclaimstobeatrisk,theBuyershall,attheSeller'srequest,informhiscustomersoftheassignmentofhisclaimstotheSellerandsupplytheSellerwithallnecessaryinformationanddocuments.
AnyactsofthirdpartiesaimedatseizinggoodstowhichtheSellerretainstitleoratappropriatingclaimsassignedtohimshallbebroughttotheSeller'sattentionbytheBuyerimmediately.
8.
IfthevalueofthesecurityprovidedtotheSellerexceedsthevalueoftheclaimstobesafeguardedbymorethan20percent,theSellershall,attheBuyer'srequest,releasesecurityofhisownchoiceaccordingly.
IX.
REACHTheBuyerherebyconfirmsthatheisawareofhisobligationsundertheRegulation(EC)Nr.
1907/2006oftheEuropeanParliamentandoftheCouncil(REACHRegulation")andthatheagreestofulfilltheseobligations.
SuchobligationsincludebutarenotlimitedtotheBuyer'sobligationsasadownstreamuseraccordingtothetitlesIVandVoftheREACHRegulation.
ThebuyerherebyconfirmsthatitishisownresponsibilitytoprovidetheSellerwithnewinformationabouthazardouspropertiesofsubstancesontheirown,inpreparationsorinarticlesorincaseofidentifiedusesanyotherinformationthatmightcallintoquestiontheappropriatenessoftheriskmanagementmeasuresidentifiedinasafetydatasheetsuppliedtohim.
Inadditiontoitsotherrightsandremedieshereunder,intheeventthattheBuyerfailstocomplywithitsobligationsundertheREACHRegulation,theSellermayterminatethisAgreement,withdrawfromanyindividualpurchaseordersprovidedthattheSellerhasnotsuppliedtheBuyeryetandceasesupplyingtheBuyerimmediatelyupontheSeller'snotificationoftheBuyer'snon-compliance.
X.
Damages1.
NoclaimsforcompensationmaybelodgedbytheBuyer-includingthoseofanon-contractualnature-foranyminornegligentbreachofdutybytheSeller,hisexecutivestafforotheragents,unlesssuchbreachconcernsadutythatiscrucialfortheobjectofthecontract.
2.
TheSellershallonlybeliableforindirectdamageordamagewhichcouldnotbeforeseenatthetimeofconclusionofthecontractifsuchdamageisduetoagrossfaultonthepartoftheSelleroroneofhismanagerialemployees.
3.
Theabovelimitationsshallnotapplytodamageresultingfromdeath,injuryordamagetohealth.
However,thisshallnotaffecttheapplicabilityofcompellingstatutoryliabilityregulationssuchas,forexample,liabilityfortheassumptionofaguaranteeorproductliabilitylaw.
XI.
NotificationofDefects1.
Notificationofdefectsshallonlyberecognizediffiledinwritingwithintwoweeksofreceiptofthegoods,togetherwithsupportingevidence,samplesandpackingslips,statingtheinvoicenumberanddate,andthemarkingsonthepackaging.
2.
HiddendefectsmustbenotifiedtotheSellerimmediatelyupondiscovery,butnotlaterthanfivemonthsafterreceiptofthegoods.
Thisshallnotaffecttheperiodsoflimitation.
TheburdenofprovingthatadefectisahiddendefectshallrestwiththeBuyer.
3.
GoodsformingthesubjectofacomplaintshallnotbereturnedtotheSellerexceptwiththeSeller'sexpressconsent.
XII.
Buyer'sRightsintheeventofDefects1.
WarrantyclaimsmadebytheBuyershallonlyentitletheBuyertobesuppliedwithareplacement.
IfthereplacementprovidedbytheSellerisalsodefective,theBuyermayreducethepurchasepriceoropttocancelthecontract.
ClaimsfordamagesasdefinedinSectionXshallremainunaffectedbytheabove.
ClaimsmadebytheBuyerduetoexpensesincurredasaresultofreworking,inparticulartransport,travel,laborandmaterialcosts,shallbeexcludedwheresuchexpenseshavebeenincreasedbythefactthattheitemwassubsequentlytransportedtoalocationotherthanthepremisesofthepartyplacingtheorder,unlessthegoodsweresuppliedtothislocationinlinewiththeirintendeduse.

IntheeventofrecoursetotheguaranteebytheBuyerfollowingasuccessfulclaimagainstthelatteronthebasisoftheprovisionsgoverningthepurchaseofaconsumergood,theclaimsunderarightofrecourseinaccordancewiththeregulationsonthepurchaseofconsumergoodsshallremainunaffected.
SectionXshallapplytoanyclaimfordamages.

TheBuyermustinformtheSellerwithoutdelayofanycaseofrecoursewithinthesupplychain.
StatutoryclaimsunderarightofrecoursebytheBuyeragainsttheSellershallnotapplywithrespecttoarrangementsenteredintobytheBuyerwithitscustomeroverandabovestatutorywarrantyclaims.
4.
Anyguaranteeagreementmustbemadeinwriting.
Astatementofguaranteeshallonlybeeffectiveifitdescribesthecontentoftheguaranteeandthedurationandphysicalscopeofguaranteeprotectioninsufficientdetail.

Thepropertiesofthegoodsshallasageneralruleonlyincludethepropertiesasstatedintheproductdescriptions,specificationsandlabelingoftheSeller.
Publicstatements,claimsoradvertisingshallnotbeclassedasinformationonthepropertiesoftheitemforsale.

TechnicaladviceprovidedbytheSellerverbally,inwritingorbywayoftrialsisgiveningoodfaithbutwithoutwarranty,andthisshallalsoapplywhereproprietaryrightsofthirdpartiesareinvolved.
TheSeller'stechnicaladviceshallnotreleasetheBuyerfromtheobligationtotesttheproductssuppliedbytheSellerastotheirsuitabilityfortheintendedprocessesandusesTheapplication,useandprocessingoftheproductsarebeyondtheSeller'scontrolandthereforeentirelytheBuyer'sresponsibility.
XV.
Trademarks1.
TheBuyershallnothavetherighttorefertotheSeller'sproductswhenofferingorsupplyingsubstituteproductsor,inpricelistsorsimilarbusinesscommunications,tousetheword"substitute"inconjunctionwiththeSeller'sprotectedorunprotectedproductdesignationsorlistthesedesignationstogetherwithanydesignationsforsubstituteproducts.
2.
WhenusingtheSeller'sproductsformanufacturingpurposesorwhenprocessingthemintonewproducts,theBuyershallnothavetheright,withouttheSeller'spriorconsent,tousetheSeller'sproductdesignations,especiallyhistrademarks,ontheresultingproductsoronthepackagingorinanyrelevantprintedmatteroradvertisingliterature,particularlybymentioningtheSeller'sproductsascomponentsofhisownproducts.
Thesupplyofgoodsunderatrademarkshallnotbedeemedagreementtotheuseofthistrademarkfortheproductsmanufacturedthereof.
XVI.
ApplicableLaw,InterpretationofTradeTerms,etc.

Germanlawshallapply.
ApplicationoftheUniformLawontheInternationalSaleofGoodsandtheUniformLawontheFormationofContractsfortheInternationalSaleofGoods-bothdatedJuly17,1973–andoftheUNagreementonthesaleofgoodsofApril11,1980shallbeexcluded.

CustomarytradetermsshallbeinterpretedinaccordancewiththeIncotermseffectiveatthetime.
3.
EvenifithasbeenagreedthattheSellerpaysthecustomsandimportdutiesinthecountryofdestination,anyincreasesinsuchdutieswhichbecomeeffectivebetweenthedateoftheorderacknowledgmentanddeliveryofthegoodsshallbebornebytheBuyer.
Allothercharges,taxesandcostsconnectedwiththepurchasecontractshallalsobebornebytheBuyer.
XVII.
PlaceofPerformanceandJurisdiction,InvalidityofIndividualClauses1.
PlaceofperformancefordeliveryshallbetheSeller'sdispatchdepartment.
PlaceofperformanceforpaymentshallbeFrankfurtamMain.
2.
PlaceofjurisdictionforbothpartiesshallbeFrankfurtamMainattheplaintiff'soption.
TheSellershallfurthermorehavetherighttosuetheBuyerattheBuyer'sgeneralplaceofjurisdiction.
3.
ShouldanyclauseintheseGeneralConditionsofSaleandDeliverybeorbecomeinvalidinfullorinpart,thisshallnotaffectthevalidityoftheremainingclausesorremainingpartsoftheclauseconcerned.
Thepartiesshallreplaceanyinvalidarrangementbyaneffectiveonewhichconformsasfaraspossibletotheeconomicpurposeoftheinvalidclause.
