甲方指定乙方为其独家代理为第三条所列商品从第四条所列区域的顾客中招揽订单 乙方接受上述委任。

Party A hereby appoints Party B as its Exclusive Agent to sol icitorders for the Commodity stipulated in Article 3 from customers inthe Territory stipulated in Article 4, and Party B accepts andassumes such appointment.

6.Price and Payment

每一笔交易的货物价格应由乙方与买主通过谈判确定并须经甲方最后确认。 付款使用保兑的、不可撤销的信用证 由买方开出 以甲方为受益人。信用证须在装运日期前_30__天到达甲方。

7.Market Report

为使甲方充分了解现行市场情况乙方应至少每季度一次或在必要时随时向甲方提供市场报告 内容包括与本协议代理商品的进口与销售有关的地方规章的变动、当地市场发展趋势以及买方对甲方按协议供应的货物的品质、包装、价格等方面的意见。 乙方还承担向甲方提供其他供应商类似商品的报价和广告资料。

In order to keep Party A well informed of the prevai ling marketconditions,Party B shall supply PartyA,at leastonce a quarter or atany time when necessary,with market reports concerning changesof the local regulations in connection with the import and sales ofthe Commodity covered by this agreement, local market tendencyand the buyer's comments on quality, packing, price, etc. ofthe goods supplied by Party A under this agreement. Party B shallalso supply Party A with quotations and advertising materials onsimilar productsof othersuppliers.

8.Advertising and Expenses

乙方负担本协议有效期内在韩国销售代理商品做广告宣传的一切费用并向甲方提交所用于广告的声像资料供甲方事先核准。

Party A shall bear all expenses for advertising and publ icity in

connection with the Commodity in Korea within the validity of thisagreement, and shall submit to Party A all audio and videomaterials intended for advertising for prior approval of Party A.

9.Commission

对乙方直接获取并经甲方确认接受的订单甲方按发票售价向乙方支付___%的佣金。佣金在甲方收到每笔订单的全部货款后_____天内向乙方支付。

10. Industrial Property Rights

在本协议有效期内为销售本协议项下的代理商品乙方可以使用甲方拥有的商标并承认使用于或包含于代理商品中的任何专利商标、版权或其他工业产权为甲方独家拥有。一旦发现侵权乙方应立即通知甲方并协助甲方采取措施保护甲方权益。

Party B may use the trade-marks owned by Party A for the sale ofthe Commoditycovered herein within the validityof thisagreement,and shall acknowledge that all patents, trademarks, copy rights or

any other industrial property rights used orembodied in the Commodity shall remain to be the sole propertiesof Party A. Should any infringement be found, Party B shallpromptly notify and assist Party A to take steps to protect thelatter's rights.

11.Validity of Agreement

本协议经有关双方如期签署后生效有效期为_____年从_____年_____月_____日至_____年_____月_____日。 除非作出相反通知本协议期满后将延长_____个月。

在本协议有效期内如果一方被发现违背协议条款另一方有权终止协议。

During the val idity of this agreement, if eitherof the two parties isfound to have violated the stipulations herein, the other party hasthe right to terminate this agreement.

11.不可抗力

13.Force Majeure

由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议该方不负责任。但是受不可抗力事件影响的一方须尽快将发生的事件通知另一方并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。

Either party shall not be responsible for fai lure or delay toperform all or any part of this agreement due to flood, fire,earthquake, draught,war or any other events which could not bepredicted, controlled, avoided or overcome by the relevant party.However, the party affected by the event of Force Majeure shallinform the other party of its occurrence in writing as soon aspossible and thereafter shall send a certificate of the event issuedbythe relevant authorities to the other partywithin 15 days after itsoccurrence.

14.Dispute Resolution

因凡因本合同引起的或与本合同有关的任何争议双方应首先尝试友好协商解决。如果一方向另一方发出协商通知之日起三十日内争议仍未得到解决则应将争议提交中国国际经济贸易仲裁委员会上海分会按照申请仲裁时该会实施的仲裁规则进行仲裁。仲裁裁决是终局的对双方均有约束力。

Any dispute arising from or in connection with this agreementshall first be attempted to be resolved through discussions andconsultations between the Parties in good faith. If the disputeremains uesolved upon expiration of 30 days after written noticehas been sent by one Party to the other Party, the dispute shal lbe submitted to China International Economic and TradeArbitration Commission, Shanghai Sub-Commission for arbitration,which shall be conducted in accordancewiththe Commission'sarbitration rules in effect at the time of applying for arbitration.Thearbitral award isfinal and binding upon both Parties.

第一条委任与接受

Article 1.Appointment

在本协议有效期内卖方指定代理商为本协议第四条项下商品的独家代理商在第三条所规定的区域内招揽顾客的订单。代理商同意并接受上述委任。

During the effective period of this Agreement. Seller herebyappoints Agent as its exclusive agent to solicit orders for productsstipulated in Article 4 from customers in the territory stipulated inArticle 3 and Agentacceptsand assumes such appointment.

第二条代理商的义务

Article 2.Agents Duty

代理商应严格遵守卖方随时给予的任何指令而且不得代表卖方作出任何担保、承诺以及订立契约、合同或作其他对卖方有约束力的行为。对于代理商违反卖方指令或超出指令范围所用的一切作为或不作为卖方都将不承担任何责任。
