ElSoftwareycadaunodesuscomponentespertenecenalLicenciadoryotrosotorgantesdelicenciayestánprotegidosbajoleyesdecopyrightyotrasleyesaplicables.
Latitularidaddelsoftwareycualquiercomponente,odecualquiercopia,modificaciónoporciónfusionadacontinuarásiendodelLicenciadoryotrosotorgantesdelicencia,sujetaalalicenciaaplicable.

AexcepcióndequesepermitaexpresamenteenesteAcuerdoysinquesupongalímitealgunodelosderechosyobligacionesdescritosenlasección"Otrosfabricantes/Códigoabierto"anterior,Ustednopuede:(1)eliminarningúnavisodepatente,marcacomercial,copyright,secretocomercialoningúnotrotipodeavisooetiquetadepropiedaddelSoftwarenidesudocumentación;(2)modificar,alterar,creartrabajosderivados,realizaringenieríainversa,descompilarodesensamblarelSoftwareexceptoysoloenlamedidaenquelopermitaexpresamentelaleyvigente;(3)transferir,asignar,prometer,arrendar,usarenesquemasdetiempocompartido,alojarnialquilarelSoftware,nisubarrendarningunodelosderechosdelicenciaquerecibemedianteesteAcuerdo,yaseaensutotalidadoenparte,sinpermisoprevioporescritodelLicenciador;(4)desvelarlosresultadosdecualquierpruebaoevaluacióncomparativasobreelrendimiento,elfuncionamientoodecualquierotrotiposobreelSoftwareatercerossinpermisoprevioporescritodelLicenciador.

SulicenciaparausarelsoftwarepuedeusarsebajolostérminosdeesteAcuerdoporotrosfabricantesactuandoensunombre,comootrofabricanteproveedordecloudounproveedordeexternalizaciónquegestioneoseahostpara(tantoremotacomovirtualmente)elsoftwareparausted,sujetoayqueseatienealosiguiente:(1)ustedsiguesiendoresponsabledetodassusobligacionesbajoesteAcuerdoyaccedeaunacuerdoejecutorioconotrofabricantequecontienetérminosycondicionesqueprotegenlosderechosdelLicenciadorenelsoftwareyquenosonmenosrestrictivosqueloscontenidosenelpresenteAcuerdo,incluyendosinlimitaciónlaseccióndeverificaciónsiguiente;(2)ustedprohibeelusodelsoftwareporelotrofabricanteparacualquierotropropósitoquenoseasupropiobeneficio;(3)ledeberesponsabilidadúnicamentealLicenciadorporcualquiertipodeincumplimientodeesteAcuerdoporelotrofabricante;y(4)seguirásiendoustedeltitulardelaadquisicióndelasuscripciónquecubretodaslasinstalacioneseimplantacionaesdelsoftwareporelotrofabricanteensunombre.
Aplicacióndelicencia.
Sirecibehardware,softwareocualquieraplicaciónqueutiliceelSoftware,yaseadirectamentedelLicenciadorodeuntercero,UstedreconoceyaceptautilizarelSoftwareúnicamenteconelfindeejecutarlaaplicaciónynocomounsistemaoperativodeusogeneral.
TITULARIDADElpresenteAcuerdonosuponelacesiónotransferenciadelatitularidadopropiedadsobreelSoftware.
ElLicenciadorysuslicenciadoresexternosmantieneníntegramenteelderecho,latitularidadyelinteréssobretodoslosderechosdepropiedadintelectualespecificadosenelSoftwareyenlosServicios,incluidassuscopiasoadaptaciones.
ElSoftwarenoselevende,UstedadquiereúnicamenteunalicenciacondicionaldeusodelSoftware.
Latitularidad,losderechosdepropiedadylosderechosdepropiedadintelectualdelcontenidoalqueseaccedeatravésdelSoftwaresonpropiedaddelospropietariosdelcontenidoaplicableydebenestarprotegidosporelcopyrightuotrasleyesaplicables.

Servicios.
ElLicenciadorgarantizaquecualquiertipodeServicioadquiridoserásuministradodeformaprofesional,deconformidadconlosestándaresgeneralesdelsector.
Estagarantíatendráunavigenciadetreinta(30)díasdesdelaentregadelosServicios.
Encasodeincumplimientodeestagarantía,laúnicaobligacióndelLicenciadorescorregirlosServiciosdemodoqueseajustenalagarantíaobien,demaneraoptativa,rembolsarelimporteabonadoalLicenciadorenconceptodelServicioqueincumplalapresentegarantía.
Ustedsecomprometeatomarlasmedidasnecesariasparaaislaryrealizarcopiasdeseguridaddesussistemas.

ElLicenciadortienederechoaverificarelcumplimientoconelpresenteAcuerdo.
Ustedacepta:(1)aplicarmedidasdeseguridadinternasparaimpedircualquiercopia,distribución,instalación,usooaccesosinautorizaciónalSoftwareosuscripcionesyelmantenimientoasociado;(2)mantenerregistrossuficientesparacertificarelcumplimientodeesteAcuerdoy,apeticióndelLicenciador,proporcionarycertificarmétricaseinformessegúntalesregistros,considerandoelnúmerodecopias(porproductosyversiones)yarquitecturasderedquepuedanrelacionarserazonablementeconsuslicenciaseimplementacióndelSoftwareosuscripciones,y(3)permitirqueunrepresentantedelLicenciadorounauditorindependiente("Auditor")inspeccioneyauditesus(incluyendosubsidiariosoafiliados)equiposyregistros,durantesuhorariolaboralhabitual,paradeterminarlaconformidadconlostérminosdelalicenciadelosproductosdesoftwarey/osuscripcionesdelLicenciador.
DespuésdequeelLicenciadoroelauditorhayanentregadosuscompromisosescritosrazonablesconlosquesalvaguardarsuinformaciónconfidencial,habrádeprestartodacolaboraciónconlacitadaauditoría,brindartodalaayudaqueseanecesariaypermitirelaccesoasusregistrosyequipos.
Siunaauditoríarevelaquetieneoencualquiermomentohatenidounainstalación,usooaccesoalSoftwareosuscripcionessinlicencia,Usteddeberáenunplazomáximode30díasadquirirunnúmerodelicenciasosuscripcionessuficientesparacubrircualquierdéficitsinelbeneficiodeningúntipodedescuentoaplicable.

EsteAcuerdoylaslicenciasasociadascompradasparaelusodelSoftwarenopodrántransferirseocedersesinelconsentimientoprevioporescritodelLicenciador.

Cualquierpleito,acciónoprocedimientoquesurjadeoestérelacionadoconesteAcuerdosolopodráserllevadoanteuntribunalfederaloestataldejurisdiccióncompetenteenUtah.
