ThisUndertakingismadewithoutprejudicetoMicrosoft'spositionshouldtheEuropeanCommissionoranyotherpartyconductproceedingsortocommenceanyotherlegalaction(excludingunderthewarrantyagreementsprovidedforinthisUndertaking)againstMicrosoftandwithoutanyadmissionbyMicrosoftthatithasengagedinallegedlyabusiveconductcontrarytoArticle82EC,orthatMicrosoft'sconductinanywayinfringesCommunitycompetitionlaw.

GUIDINGPRINCIPLES(2)Microsoftshallensurethatthird-partysoftwareproductscaninteroperatewithMicrosoft'sRelevantSoftwareProductsusingthesameInteroperabilityInformationonanequalfootingasotherMicrosoftSoftwareProducts.
("InteroperabilityCommitment")(3)ThisUndertakingshallbeinterpretedinthelightoftheseGuidingPrinciples.
(4)MicrosoftshallnotcircumventorattempttocircumventthecommitmentsinthisUndertaking,includingtheGuidingPrinciples.

GeneralProvisions(5)ThefollowinggeneralprovisionsshallgoverntheimplementationbyMicrosoftoftheSpecificCommitmentsinSectionB.

(6)Microsoftshall:MakeInteroperabilityInformationavailabletointerestedundertakingsinthewayoutlinedinthisSectionforthepurposesofachievinginteroperability.

(7)InteroperabilityInformationshallbemadeavailablebyMicrosoftunderthefollowingterms:AccesstoanduseoftheInteroperabilityInformationshallbesubjecttoreasonableandnon-discriminatoryterms.
AccesstoanduseoftheInteroperabilityInformationshallbeallowedworldwideand,saveinpatentlicenses,withoutfieldofuserestriction.
FieldofuserestrictionsinpatentlicensesshallbelimitedtorestrictionsofuseforthepurposesofinteroperabilitywiththeapplicableMicrosoftSoftwareProductorCompatibleSoftware.
AccesstoanduseoftheInteroperabilityInformationshallbesubjecttonomorethananominalupfrontfeeandlicensingtermswhicharecompatiblewithOpenSourceLicenses.
Inaddition,MicrosoftshallabidebythePatentPledgeforOpenSourceDeveloperssetforthinAnnexE,whichshallbepostedonitsexternalwebsite.
ThisiswithoutprejudicetoMicrosoft'srighttomaketheuseofMicrosoft'spatentedtechnologyembodiedintheInteroperabilityInformationsubjecttoaseparatepatentlicense.
MicrosoftcommitstodulyinforminterestedundertakingsabouttherelevantpatentclaimsandonlytoassertthosepatentsagainstundertakingsofwhichtheseundertakingshavebeenputonnoticeinaccordancewiththeconditionssetoutinSectionD.

MicrosoftshallprovidethirdpartieswithaccesstoitsowntestsandtoolsthatMicrosoftusestotestinteroperabilityofMicrosoftSoftwareProductswiththeapplicableMicrosoft'sRelevantSoftwareProducts.
MicrosoftwillprovidethisaccesstoallowthirdpartiestoverifywhethertheirimplementationsoftheInteroperabilityInformationcaninteroperatewithMicrosoft'sRelevantSoftwareProductsusingtheInteroperabilityInformationinthesamewaythattheapplicableMicrosoftSoftwareProductsusetheInteroperabilityInformationtointeroperatewithMicrosoft'sRelevantSoftwareProducts.
MicrosoftshallensurethattheInteroperabilityInformationiscompleteandaccurateandshallprovideawarrantytothateffect,assetforthinthewarrantyagreementinAnnexA.
Thewarrantiesshallbemadeavailablefornomorethananominalfeeandbesubjecttoeffectiveprivateenforcement.
Notwithstandingtheforegoingoranythinghereintothecontrary,thewarrantiesmade(ortobeprovided)withrespecttoInteroperabilityInformationunderAnnexAandotherwiseinthisUndertakingshallnotapplytoInteroperabilityInformationthatissubjectto,orforwhichMicrosoftotherwiseoffersawarrantyunder,theWSPPProgram.
(8)Open,publicstandardsshallbesupportedandimplementedbyMicrosoftinthefollowingmanner:Microsoftshallprovidesupportforapplicablestandardsbyeither(i)implementingtherequiredportionsoftheapplicablestandardthatrelatestofunctionalityoftheimplementingproduct,or(ii)completelyandaccuratelydocumentinganydeviationsorvariationsofrequiredportionsoftheapplicablestandard.
MicrosoftshallmakethisdocumentationpubliclyavailableinaTimelyManner.
MicrosoftshallcompletelyandaccuratelyandinaTimelyMannermakedocumentationoftheoptionalorinformativeportionsofthestandardithaschosentoimplementpubliclyavailable.
MicrosoftshallcompletelyandaccuratelyandinaTimelyMannermakedocumentationofanyextensionsithasmadetoanysuchstandardpubliclyavailable.
Extensionsincludetheformatofthecontenttypes,relationships,elementsandattributesthatarenotdefinedinthestandard.
Microsoftshallensurethattheopen,publicstandardsidentifiedinSectionB.
IIaresupported,implementedanddocumented(includingupdatestosuchdocumentation)asoutlinedaboveandwarranttothateffectassetforthinthewarrantyagreementinAnnexA.
Thewarrantiesshallbemadeavailablefornomorethananominalfeeandbesubjecttoeffectiveprivateenforcement.
(9)InordertocomplywiththegeneralprovisionssetoutinthisSectionMicrosoftmakesavailablethewarranty,apatentlicenseagreement,andapatentcovenantagreementattachedasAnnexesAandB1andB2tothisUndertaking.
Astothepatentcovenantagreement,Microsoftwillnegotiatetoaddressreasonableandspecificindividualbusinessneeds,includingagreementsthatpayaroyaltytoMicrosoftbasedonapercentageofthethird-party'stotalrevenueforidentifiedsubscriptionservicessales(commensuratetothetotalamountotherwisedueundertheperCopyroyaltyscheduleinAnnexB2).
TheseagreementsshallbeinterpretedinthelightofthisUndertaking.
